Terms & Conditions:
Agreement Duration
This Agreement will commence upon the effective date outlined in the signed contract. The agreement will renew periodically to ensure continued services, unless terminated in accordance with the termination policy. Any updates to terms, scope, or conditions will be discussed and agreed upon during the renewal process.
Clarification:
Renewals ensure uninterrupted services, but terms, scope, and conditions may be revised upon mutual agreement at the time of renewal.
Scope of Services
The Consultant agrees to provide services to the Client as outlined in the Scope of Work (SOW), which is attached separately. The SOW details all deliverables, milestones, and expectations for both parties. The Consultant will make every reasonable effort to meet agreed timelines but cannot be held liable for delays caused by external circumstances.
Amendments
Any additional services outside the agreed scope will require a separate written agreement. Such amendments may include new deliverables, extended timelines, or additional fees, as mutually agreed upon in writing.
Communication & Collaboration
To ensure successful outcomes, the Client must provide all necessary information and access (e.g., Amazon Seller Central) in a timely manner.
Clients are required to actively participate in scheduled meetings, which may include:
- Weekly Progress Meetings: To review progress, address concerns, and plan next steps.
- Monthly Review Calls: To evaluate performance metrics, identify opportunities, and discuss strategy adjustments.
Failure to Collaborate:
Failure to attend scheduled meetings or provide timely information may result in delays or an inability to achieve outlined goals. The Consultant cannot be held liable for delays caused by a lack of collaboration.
Termination Policy
Clients may terminate the agreement by providing written notice in accordance with the termination policy.

- Upon termination, the Client is responsible for payment of all services rendered up to the termination date.
Early Termination Policy:
If the Client terminates the agreement before the agreed completion of services, additional fees may apply for completed deliverables and administrative costs.
Payment Terms
Non-Payment Policy:
If the Client does not make payment by the due date:
- A grace period will be granted for payment to be made without penalties.
- If payment is not received after the grace period, a late fee will be applied to the invoice.
- If payment remains outstanding, services may be suspended until all outstanding balances, including late fees, are paid in full.
- Services will only resume upon receipt of the full payment of all outstanding fees.
Refund Policy
Refunds will not be provided for services already rendered. In specific cases where deliverables are contingent upon external factors (e.g., account approvals), refunds may be considered as outlined in the SOW.
Independent Contractor Relationship
CSB Concepts LLC operates as an independent contractor, not as an employee, agent, or partner of the Client.
- The Consultant retains full control over how, when, and where services are performed, within the parameters of the agreement.
- This agreement does not create any partnership, joint venture, or employer-employee relationship between the parties.
- CSB Concepts LLC is not entitled to any employee benefits, including but not limited to health insurance, paid leave, or retirement benefits.
The Client agrees that the Consultant has no authority to bind or act on behalf of the Client in any legal or contractual capacity unless explicitly agreed upon in writing.
Governing Law and Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles.
Any disputes arising from or related to this Agreement shall be resolved exclusively in the courts located in Dallas, Texas, where both parties agree to jurisdiction and venue.

- Third-Party Platforms
- Any information shared by the Client on third-party platforms (e.g., Amazon Seller Central) is subject to those platforms' privacy policies. The Consultant is not responsible for breaches or misuse of data by third-party platforms.
Terms of Service:
Intellectual Property
Upon full payment, the Client is granted ownership of the final deliverables created specifically for their use under this agreement. CSB Concepts LLC retains ownership of all underlying methodologies, templates, tools, and processes used to create the deliverables, which may be reused or adapted for other projects or purposes.
The Consultant reserves the right to use anonymized data, case results, and non-identifiable aspects of the deliverables for portfolio, marketing, or future work purposes. Any use of deliverables by the Client prior to full payment is strictly prohibited.
Non-Solicitation
Neither Party shall directly or indirectly solicit, recruit, or hire any employee, contractor, or agent of the other Party for the term of this Agreement and for two (2) years thereafter.
Force Majeure
Neither party will be held liable for delays or failure to perform obligations due to events beyond their reasonable control, including but not limited to natural disasters, pandemics, wars, strikes, or changes in governmental policies.
Limitation of Liability
The Client acknowledges and agrees that CSB Concepts LLC shall not be held liable for:
- Account suspensions, terminations, or restrictions imposed by Amazon.
- Marketplace changes outside of CSB Concepts’ control.
- Errors caused by incomplete information provided by the Client.
Liability Cap
In no event shall CSB Concepts LLC’s total liability exceed the total fees paid by the Client over the past three (3) months immediately preceding the claim.
Acknowledgment of Shared Responsibility
The success of this agreement depends on the Client’s active participation. The Consultant will not be held responsible for delays or failures caused by the Client’s lack of cooperation.
Indemnification
The Client agrees to indemnify CSB Concepts LLC against any claims, liabilities, or losses arising from:
- The Client’s violation of Amazon’s policies or terms of service.
- Third-party claims related to the Client’s products.
- Regulatory or legal disputes regarding product compliance.
Dispute Resolution
Both Parties agree to make a good faith effort to resolve disputes amicably through direct communication. If no resolution is achieved within 30 days:
- Both Parties agree to submit to binding arbitration under the rules of the American Arbitration Association (AAA).
- Arbitration will occur in a mutually agreed location.
Entire Agreement Clause
This Terms of Service constitutes the entire agreement between the Client and CSB Concepts LLC regarding the services provided and supersedes all prior discussions, agreements, or understandings, whether written or oral. Any amendments to this agreement must be made in writing and signed by both parties.
Amendments and Updates
CSB Concepts LLC reserves the right to amend or update this Terms of Service to reflect changes in business practices or legal requirements. Clients will be notified of significant updates via email or through the Client portal. Continued use of services constitutes acceptance of the updated terms.
Third-Party Services Disclaimer
CSB Concepts LLC is not responsible for disruptions, changes, or actions taken by third-party platforms (e.g., Amazon). Clients are solely responsible for compliance with the terms and conditions of such platforms.
Confidentiality Policy:
Both Parties agree to keep confidential any proprietary information shared during this Agreement. This includes, but is not limited to, the Client's business operations, practices, marketing strategies, financial data, intellectual property, trade secrets, and any other information designated as confidential.
- Confidentiality Obligations
- Confidentiality applies retroactively to pre-signing discussions and will survive termination of the agreement.
- Both Parties agree not to publicly disparage or harm the reputation of the other.
- The Consultant will not disclose, share, or use confidential information for any purpose other than fulfilling the obligations outlined in this agreement.
- Data Security
- The Consultant will implement reasonable and industry-standard data security measures to protect Client information from unauthorized access, misuse, or breaches.
- Data security measures may include but are not limited to:
- Secure access controls (e.g., passwords, two-factor authentication).
- Encrypted storage of sensitive data.
- Restricting access to confidential information to authorized personnel only.
- Data Usage and Retention
- Client data will only be used for purposes directly related to the services provided under this Agreement.
- Data will be retained only as long as necessary to fulfill contractual obligations or comply with legal and regulatory requirements.
- Exceptions to Confidentiality
Confidentiality does not apply if disclosure is required by:- Law or regulatory authorities.
- Court order or subpoena.
- Situations where disclosure is necessary to prevent fraud, illegal activities, or potential harm.
- In such cases, the disclosing party will make reasonable efforts to notify the other party before disclosing any information, unless prohibited by law.
- Non-Disparagement
- Both Parties agree not to take actions or make statements that could harm the reputation or business interests of the other party during or after the term of this Agreement.
- Client Responsibility
- The Client is responsible for ensuring that any information or access provided (e.g., Amazon Seller Central credentials) is accurate, secure, and free from viruses or vulnerabilities.
- Breach of Confidentiality
- Any breach of confidentiality by either party may result in termination of the agreement and/or legal action to recover damages caused by the breach.
